These Terms and Conditions of Service ("Terms") govern the relationship between StratPro LLC (referred to herein as "StratPro," "we," "us," or "our") and the client (referred to as "Client" or "you") utilizing our filing, compliance, e-commerce advisory, and management services. By engaging with StratPro LLC and submitting payment, the Client agrees to be bound by these Terms, acknowledging the inherent risks and rewards associated with establishing a business and operating within the competitive Amazon marketplace. These Terms, including the Cancellation and Refund Policy (Section 5), apply equally to all payment methods processed via UniPayment, including Cards, E-wallets, Cryptocurrency, and bank transfers.
StratPro LLC provides comprehensive, two-tiered services across two primary categories: Entity Formation & Compliance (Tier 1) and Amazon FBA Management & Consulting (Tier 2). Our offerings are designed to provide a cohesive strategy from legal establishment through market scaling.
StratPro LLC's core services include LLC and tax advisory for international e-commerce sellers (including KYC compliance), Amazon/marketplace setup and compliance, trademark/Brand Registry assistance, and account-health consulting. Our ideal client profile consists of international entrepreneurs and small-to-medium-sized e-commerce sellers whose primary goal is to enter the United States market (USA) and establish their brand on the Amazon FBA platform.

Suspension & Appeal Services | Immediate, high-priority diagnosis of account and/or listing deactivations (covering complex issues like performance failures, Intellectual Property (IP) violations, or "inauthentic" claims) and the construction and urgent submission of a comprehensive, custom Plan of Action (POA) to Amazon for swift reinstatement. |
3.1 Prepayment: To secure dedicated time and resources, all service fees must be paid in full in advance before StratPro LLC commences any substantial work outlined in Sections 1.0 and 2.0. 3.2 Exclusions: Our quoted fees exclusively cover our stated professional Service Fees. They expressly do not include, and the Client is solely responsible for, all necessary third-party costs such as government filing fees (SOS, IRS, USPTO), platform costs (e.g., bank fees, domain/hosting, monthly Amazon Professional Seller subscription), customs duties, all shipping/freight costs associated with inventory movement, or any international, federal, state, or local taxes applicable to the Client's business operations or earnings.
Our services are considered definitively delivered and completed upon the successful fulfillment of the following specific criteria, regardless of subsequent governmental or marketplace actions:

Product Research | When the final, in-depth, data-backed product list and viability report, including competitor analysis and estimated profit projections, are formally delivered to the Client. |
Sourcing/QC | When a final, mutually agreed-upon supplier contract is executed, the initial inventory order is confirmed, and the mandated pre-shipment Quality Control (QC) report is delivered to the Client for final production approval. |
Listing/PPC | When the fully optimized listing content (SEO copy, lifestyle imagery, A+ Content) and the initial structural framework for the PPC campaign are uploaded and actively launched on the Client's Seller Central account. |
Given the nature of non-refundable government filing fees, proprietary intellectual property exchange, and personalized consulting time, cancellations and refunds are strictly limited and subject to the following terms:

Cancellation Before Filing/Work Start | If the Client formally cancels the service engagement within 24 hours of payment and absolutely before any government forms (SOS, IRS, Trademark) are filed or any measurable service work (e.g., product research initiation, dedicated sourcing outreach) has officially commenced, the service fee will be refunded, less a mandatory $150 administrative processing fee to cover initial system setup and consultation time. |
Cancellation After Filing/Work Start | No refunds will be provided once any government form has been submitted to its respective agency OR once StratPro LLC has commenced substantial work on any 2.0 service, defined as delivering initial product research data, initiating contact with suppliers, or building listing copy. At this point, the core service obligation has been partially fulfilled. |
Government Rejection | If the government agency (SOS or IRS) rejects the application due to demonstrable errors caused by StratPro LLC, we will resubmit the application immediately at no extra service charge to the Client. If the rejection is due to Client error (e.g., inaccurate or misleading information provided), an additional service fee will apply for the necessary resubmission and remediation. |
Amazon Rejection (Appeal) | StratPro guarantees professional execution of the POA submission, leveraging our expertise and successful methodologies. No refunds will be provided if Amazon denies the appeal, as the service obligation—providing expert consultation, diagnostic work, and the custom document creation/submission—is considered delivered upon the act of submission to Amazon. |
STRATPRO LLC IS NOT A LAW FIRM OR A CERTIFIED PUBLIC ACCOUNTING (CPA) FIRM. We provide comprehensive filing assistance, specialized e-commerce advisory, and strategic management guidance only. We do not provide legal, tax, accounting, or investment advice. It is the Client's sole responsibility to consult with a licensed attorney or Certified Public Accountant (CPA) in their relevant jurisdiction for all matters pertaining to legal obligations, tax liabilities, and corporate structure decisions.
StratPro acts solely as an advisor, facilitator, and coordinator during the sourcing and production phases. The Client acknowledges and accepts full responsibility for the following inherent risks in global supply chain management:
Quality Variance: Final product quality, adherence to specifications, and longevity remain the ultimate responsibility of the Client and the third-party manufacturing supplier.
Supplier Disputes: StratPro is not liable for any financial losses, inventory damage, or schedule disruptions resulting from disagreements, production delays, payment issues, or failure to deliver by the chosen supplier.
IP Infringement: While we provide guidance on securing trademark filing, StratPro is not liable if a finished product or design concept provided by the Client or the supplier infringes upon a third party's Intellectual Property (IP) rights, patents, or copyrights.
Policy Changes: Amazon’s terms of service and marketplace policies are dynamic and subject to frequent, often immediate change. StratPro is not liable for any account deactivations, listing removals, or financial losses caused by retroactive policy enforcement or unpredictable actions taken by Amazon.
Performance Guarantees: While we guarantee the execution of high-quality, data-driven strategy (PPC, SEO, Sourcing), StratPro makes no guarantees regarding specific sales volumes, profit targets, or organic keyword rankings, as these depend significantly on external market factors, competition, and customer behavior outside our control.
The Client agrees that StratPro LLC, its owner, agents, or affiliates shall not be liable for any indirect, incidental, punitive, or consequential damages (including, but not limited to, loss of profits, loss of anticipated revenue, or loss of business opportunity) arising directly or indirectly from the use or inability to use our services or any advice provided. Our maximum aggregate liability for any claim arising out of or related to these Terms or the services provided is expressly limited to the total amount of the service fee paid by the Client to StratPro LLC for the specific service in question.
These terms shall be governed by and construed in accordance with the laws of the State of New Mexico, USA, without regard to its conflict of law principles.
